1. Scope and Acceptance

These Terms and Conditions govern the Medivek App and Medivek Access provided by Medivek Group. By using the services, you agree to these Terms and the Privacy Policy. If you do not agree, you must stop using the services immediately.

Use of the services does not constitute consent to personal jurisdiction in the United States or any jurisdiction outside Lebanon.

2. Definitions

Medivek App is the patient-facing application to record treatments, medications, measurements, notes, and documents. Medivek Access is the professional interface for licensed healthcare providers receiving shared data. User includes patients and healthcare professionals. Data refers to any information entered, uploaded, generated, or transmitted through the services.

3. Nature of the Services & Medical Disclaimer

No Medical Advice. The Services do not provide medical advice, diagnosis, or treatment. They are not a medical device, not certified under FDA, EU MDR, or other regulatory frameworks, and must not be used for emergencies.

All medical decisions remain the responsibility of users and licensed healthcare professionals. Medivek does not evaluate medical urgency, monitor symptoms, or assess risks.

Medivek is not a HIPAA-covered entity unless explicitly contracted under a Business Associate Agreement (BAA).

4. Accounts and Eligibility

You must keep your credentials confidential and secure your device. You confirm you have the legal right to use the services in your jurisdiction and profession.

5. Data Protection, Hosting, and Privacy

5.1 Safeguards

Medivek implements administrative, technical, and physical security measures. Users choose what data to enter and share.

5.2 Access and Use of Data

Healthcare professionals may access only data explicitly shared with them by the user. Medivek accesses data solely to operate, secure, and support the services.

5.3 Hosting Location & No Jurisdiction Creation

Services are hosted in the United Kingdom, with planned migration to the United States. Hosting location does not create jurisdiction, legal presence, or consent to legal authority in any region.

5.4 GDPR Clarification

For EU users, Medivek Group acts as: (a) a Data Processor for data shared with healthcare professionals; (b) a Data Controller for account information and operational metadata.

5.5 Security Limitations

No system is completely secure. Users acknowledge inherent risks of digital systems.

6. User Responsibilities

Users are fully responsible for the accuracy of all entered information. Users must independently confirm medication schedules and cannot rely solely on reminders or summaries.

7. Healthcare Professional Responsibilities

Healthcare professionals are solely responsible for interpreting data and making clinical decisions. Medivek is not liable for medical interpretations, recommendations, or outcomes.

8. Third-Party Services

Hosting, messaging, and analytics may rely on third-party providers. Medivek is not responsible for third‑party failures, delays, or outages.

9. Intellectual Property

Software, design, and content belong to Medivek Group. Users retain ownership of their data and grant Medivek a limited license to process it for service operation.

10. Disclaimers and Limitation of Liability

10.1 “As-Is” Service

The services are provided without warranties of any kind, including accuracy, completeness, availability, or fitness for purpose.

10.2 Notifications

Reminders may be delayed or fail. Medivek is not liable for missed doses, timing errors, or treatment consequences.

10.3 Security Limitations

Medivek is not liable for unauthorized access, cyberattacks, device compromise, or breaches resulting from factors beyond reasonable control.

10.4 Measurement Interpretation

All data is user‑provided. Automated charts may be incomplete or inaccurate. Users must consult professionals.

10.5 Symptom Recording

Symptom entries are not monitored, reviewed, or evaluated by Medivek.

10.6 Damage Cap

Total liability is capped at fees paid in the preceding 12 months, or zero if no fees were paid.

10.7 Force Majeure

Medivek is not responsible for events beyond reasonable control.

Users and healthcare professionals agree to indemnify and hold harmless Medivek Group from claims arising from:

12. Arbitration & Class Action Waiver

Any dispute shall be resolved through binding arbitration in Beirut, Lebanon. Users waive the right to participate in class actions or collective proceedings.

13. Suspension and Termination

Medivek may suspend or terminate accounts for violations, security risks, or unlawful activity.

14. Changes to Terms

Medivek may update these Terms at any time. Continued use constitutes acceptance.

15. Governing Law & No Foreign Jurisdiction

These Terms are governed exclusively by the laws of Lebanon. Courts of Beirut hold exclusive jurisdiction. Use of the services does not grant jurisdiction elsewhere.

16. No Third-Party Beneficiaries

These Terms create no rights for third parties.
